1. Accepting These Terms

Please read these Terms and Conditions ("Terms") carefully before using kalyani-consulting.com (the "Site") or purchasing any services or products from Kalyani Consulting LLC ("Company," "we," "our," or "us"), an Ohio limited liability company.

By accessing the Site, purchasing any product or service, or enrolling in any program, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site and its services immediately.

2. Services Overview

Kalyani Consulting LLC offers the following services and products. Specific terms for each are outlined in the sections below.

  • Comprehensive Grant Writing and Management (consulting engagement)
  • ElevatED Leadership Coaching and Consulting Program (group and 1:1 coaching)
  • Fund Development Planning Workshop (paid live workshop)
  • Free digital resources, including the Fund Development Plan Template

3. Comprehensive Grant Writing and Management

3.1 Scope of Services

Grant management engagements are scoped on a per-client basis through a signed Statement of Work (SOW) or Engagement Letter. Services may include grant writing, grant reporting, prospect research, grants tracking system setup, funder communication, and ongoing grant portfolio management.

3.2 Engagement Structure

Engagements typically begin with a Phase 1 hourly engagement at the agreed-upon hourly rate, with a defined scope of hours. Ongoing retainer or project-based arrangements are established through a separate SOW.

3.3 Client Responsibilities

Clients are responsible for providing timely access to organizational data, program information, financial documents, funder portal credentials, and staff availability needed to complete grant-related deliverables. Delays caused by the client may affect timelines and deliverables.

3.4 Intellectual Property

All grant narratives, templates, tracking systems, and strategic documents created during the engagement are delivered to the client for their organizational use. The Company retains the right to use anonymized methodologies, frameworks, and processes in its other work and marketing.

3.5 Confidentiality

The Company will treat all client organizational data, financial information, funder relationships, and internal documents as confidential. Information will not be shared with third parties without written consent, except as required by law.

3.6 Termination

Either party may terminate a grant management engagement with 30 days written notice. The client is responsible for payment of all work completed through the termination date. Unused prepaid hours will be refunded on a pro-rata basis.

4. ElevatED Leadership Coaching and Consulting Program

4.1 Program Structure

The ElevatED Leadership Club is a 6-month coaching and consulting program available in two tiers:

  • Group Coaching (The Overwhelm-to-Order Plan): Includes 12 one-hour group virtual coaching sessions, self-paced learning materials, offline feedback on plans and proposals, and community-based learning.
  • One-on-One Coaching (The Stabilize-and-Scale Plan): Includes everything in group coaching plus six private one-hour coaching sessions, personalized attention, deep-dive reviews, and flexible scheduling with light between-session support.

4.2 Payment Terms

The coaching program is available in two payment options:

  • Pay-in-full for the entire 6-month program
  • Monthly payments for 6 months

Pilot pricing, when offered, is honored for the full program term for those who enroll during the promotional period. For monthly payments, payment is due on the same date each month.

4.3 Attendance and Participation

Group coaching sessions are scheduled in advance and recordings may be provided. Missed sessions are not individually refundable. Private 1:1 sessions must be rescheduled with at least 48 hours notice; sessions missed without adequate notice are forfeited.

4.4 Cancellation — One-on-One Coaching

One-on-one coaching participants may cancel their enrollment within 15 days of their enrollment date by sending written notice to kalyani@kalyani-consulting.com.

  • If you paid in full, you will receive a prorated refund for the unused portion of the program, minus the value of any sessions attended or materials accessed.
  • If you are on monthly payments, you are responsible for payment through the end of your current billing cycle. No further payments will be charged after cancellation is processed.

After the 15-day cancellation window, the full 6-month program commitment applies. No refunds or cancellations will be issued for the remainder of the program term. All remaining payments are due as scheduled.

4.5 Cancellation — Group Coaching

Group coaching participants may cancel their enrollment within 15 days of their enrollment date, provided they have not yet attended a group coaching session. Once you have attended one group session, the full 6-month program commitment applies and no cancellation or refund will be issued.

4.6 Program Materials

Templates, frameworks, recorded sessions, and other materials provided during the program are for the participant's personal organizational use only. Materials may not be redistributed, resold, or shared outside the participant's organization without written consent from the Company.

4.7 Confidentiality in Group Settings

Participants in group coaching sessions agree to maintain confidentiality regarding other participants' organizational information, challenges, and strategies shared during sessions. The Company is not liable for breaches of confidentiality by other participants.

4.8 Results Disclaimer

Coaching and consulting services provide guidance, frameworks, and strategic support. Results depend on the participant's implementation, organizational circumstances, and external factors. The Company does not guarantee specific fundraising outcomes, grant awards, or revenue results.

5. Fund Development Planning Workshop

5.1 Description

The Fund Development Planning Workshop is a live, virtual, 3-hour session in which participants build a fund development plan using the North Star Method™ framework. The workshop includes an interactive HTML workbook, an AI-powered prompt generator for revenue forecasting, and access to a workshop replay for 30 days following the live session.

5.2 Pricing and Payment

Workshop pricing is listed on the checkout page at the time of purchase. Payment is processed through Stripe via the Site. All prices are in US dollars.

5.3 What Is Included

  • Live 3-hour virtual workshop session
  • Interactive HTML workbook (browser-based, accessible anytime)
  • AI-powered prompt generator for building a custom revenue forecast
  • 30-day access to the full workshop replay
  • Bonus materials as described on the sales page at the time of purchase

5.4 Refund Policy

If you attend the live session, complete the worksheets, and do not feel clearer about your fund development priorities than when you walked in, email kalyani@kalyani-consulting.com within 5 days of the live workshop date and we will make it right.

If you purchase the workshop and do not attend the live session, no refund will be issued. The workshop is a live experience and participation is required for the guarantee to apply.

5.5 Workshop Materials

All workshop materials, including the workbook, prompt generator, templates, and replay recording, are provided for the purchaser's personal organizational use. Materials may not be redistributed, resold, recorded, or shared without written consent from the Company.

6. Free Digital Resources

The Company offers free resources, including the Fund Development Plan Template, as lead magnets and trust-building tools. By downloading a free resource, you may be added to the Company's email list via Mailchimp. You may unsubscribe at any time using the link in any email.

Free resources are provided for personal organizational use only. They may not be redistributed, resold, or used in commercial training or consulting offerings without written consent.

7. Intellectual Property

All content on the Site, including text, graphics, logos, frameworks, methodologies, templates, tools, the North Star Method™ brand, and all workshop and program materials, is the property of Kalyani Consulting LLC and is protected by copyright and trademark laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use purchased materials for your organization's internal use only. You may not modify, reproduce, distribute, create derivative works from, or publicly display any Company content without prior written consent.

8. Privacy and Data Collection

Your use of the Site is subject to our Privacy Policy. The Company collects and processes data through the following third-party services:

  • Stripe: payment processing
  • Mailchimp: email marketing and post-purchase sequences
  • Meta Pixel: advertising and retargeting
  • Google Analytics: website analytics
  • CartFlows / WooCommerce: checkout and order management

9. Electronic Communications

By using the Site, making a purchase, or enrolling in a program, you consent to receive electronic communications from the Company, including order confirmations, program updates, scheduling communications, and marketing emails. You may opt out of marketing emails at any time.

10. Disclaimers

10.1 No Financial or Legal Advice

The Company provides fundraising strategy, grant writing, and nonprofit consulting services. Nothing provided by the Company constitutes financial, legal, tax, or accounting advice. Revenue forecasts generated through the AI prompt generator or any workshop tool are planning estimates only and do not guarantee actual results.

10.2 No Guaranteed Outcomes

While the Company references historical client ROI of 6–8x, individual results vary based on organizational capacity, implementation, market conditions, and funder decisions. Past results do not guarantee future performance.

10.3 Third-Party Links

The Site may contain links to third-party websites. The Company is not responsible for the content, accuracy, or practices of linked sites.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, employees, contractors, and agents from any losses, liabilities, claims, or expenses (including reasonable attorneys' fees) arising out of your use of the Site, participation in any program, or violation of these Terms.

12. Limitation of Liability

To the fullest extent permitted by law, the Company's total liability for any claim arising from these Terms, the Site, or any service shall not exceed the total amount you paid to the Company in the 12 months preceding the claim. The Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages.

13. Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association under its applicable rules, held in the State of Ohio. Each party agrees to resolve disputes on an individual basis and waives any right to participate in a class action.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict-of-law principles.

15. International Users

The Company operates in the United States (Ohio). If you access the Site or purchase services from outside the United States, you are responsible for compliance with your local laws.

16. Access Restriction

The Company reserves the right to terminate your access to the Site, any program, or any service at any time, for any reason, including violation of these Terms or disruptive behavior in group coaching settings.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

18. Entire Agreement

These Terms, together with any signed Statement of Work, Engagement Letter, or program enrollment agreement, constitute the entire agreement between you and the Company. In the event of a conflict between these Terms and a signed SOW or Engagement Letter, the signed document shall govern for that specific engagement.

19. Changes to Terms

The Company reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of the Site or services after changes are posted constitutes acceptance of the revised Terms.
